Terms of Service

1. General

These Terms of Service govern your use of the website autcode.com and any services provided by Autcode sp. z o.o., Gimnazjalna 2A lok 204, 85-007 Bydgoszcz, Poland (NIP: 9532814334). By using this website, you agree to these terms.

2. Services

AutCode provides custom software development, WordPress/WooCommerce plugin development, AI integration, and workflow automation services. The specific scope, deliverables, timeline, and pricing for each project are defined in a separate written agreement (Statement of Work) between AutCode and the client.

3. Quotes and estimates

Project estimates provided through our website or via email are non-binding until confirmed in a signed Statement of Work. Estimates are valid for 30 days from the date of issue unless stated otherwise.

4. Payment terms

  • Payment is due according to the milestones defined in the Statement of Work.
  • Standard milestone structure: 30% on project start, 40% at mid-point delivery, 30% on final delivery.
  • We invoice in USD, CAD, EUR, or PLN as agreed with the client.
  • Invoices are payable within 14 days of issue unless agreed otherwise.
  • Late payments may incur interest at the statutory rate.

5. Intellectual property

  • Upon full payment, all custom code written specifically for the client is transferred to the client with full intellectual property rights.
  • AutCode retains ownership of its own pre-existing tools, libraries, and frameworks. Where these are used in a project, the client receives a perpetual, non-exclusive license.
  • Client code is never reused for other projects without explicit written consent.

6. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This obligation survives the termination of any agreement. We are happy to sign a mutual NDA upon request.

7. Warranty and liability

  • We provide a 30-day post-launch bug-fix warranty on all delivered work.
  • Bugs are defined as deviations from the agreed specification in the Statement of Work.
  • Our total liability is limited to the amount paid by the client for the specific project.
  • We are not liable for damages caused by third-party services, hosting failures, or client modifications to delivered code.

8. Scope changes

Any changes to the agreed scope require written approval from both parties. Scope changes will be documented with a revised estimate. Work on scope changes begins only after the client's written approval of the revised estimate.

9. Termination

  • Either party may terminate the agreement with 14 days' written notice.
  • Upon termination, the client pays for all work completed up to the termination date.
  • Completed work and source code are delivered to the client upon payment.

10. Website use

The content on autcode.com is provided for informational purposes. While we strive to keep information accurate and up to date, we make no warranties about the completeness or accuracy of the content. Prices and availability are subject to change.

11. Governing law

These terms are governed by the laws of Poland. Any disputes shall be resolved by the competent court in Bydgoszcz, Poland, unless a separate agreement specifies otherwise.
